Polygon's Coinme and Sequence Acquisitions: Ownership, Licences and Unpriced Risks

Analysis date and evidence cutoff: November 5, 2026.

Polygon's acquisitions bring together two different businesses. Sequence supplies wallets, developer infrastructure and cross-chain orchestration. Coinme supplies regulated fiat access, custody and distribution relationships. The combination gives Polygon a route into payments, but the public record does not establish the standalone purchase price, current profitability or fair value of either target.

Three findings matter most. Sequence's last federal disclosure identifies Peter Kieltyka in a 25–50% shares band, within a company classified as having more than 50 shareholders. Coinme's October completion follows a settlement with continuing compliance obligations and a future kiosk exit. Its historical capital included substantial assets that a regulator excluded from its capital calculation. Those facts describe different dates and objects; none is a complete closing balance sheet or seller payout statement.

The corporate structure report explains the wider ownership map. The Open Money Stack report examines payment margins and possible POL demand, while the POL white paper guide covers token disclosures. This investigation concentrates on what the acquisitions transferred, who might receive proceeds and which obligations remain.

Polygon's January 13 announcement described definitive agreements worth more than US$250 million combined. That amount cannot be assigned entirely to either company, counted twice, or treated as verified cash paid to sellers. The public announcements do not provide a price allocation, debt/cash adjustments, earn-outs, escrows or the cash/equity/token mix.

EventWhat the dated record establishes
January 13, 2026Definitive agreements announced; Sequence's own release retained closing conditions
January 19Last updated/confirmed federal Sequence ISC disclosure
January 20Sequence Platforms Inc. discontinued federally and continued into Alberta
February 5Sequence Buyco and target amalgamated; effective date of Canadian trademark assignments
October 7Coinme multistate settlement became effective and approved the notified change of control
October 14Polygon announced completion of Coinme's acquisition
January 1, 2027Future deadline for Coinme kiosk exit in participating jurisdictions

These events should not be collapsed into one closing date. Sequence's February reorganisation may have followed a purchase; it does not identify the exact purchase closing or bank transfer. Coinme's later completion announcement supersedes earlier descriptions of its purchase as pending.

Sequence Began as Horizon's Own Infrastructure

Corporations Canada dates Horizon Blockchain Games Inc., corporation 1054673-9, to December 19, 2017. Its business number is 779131887. Peter Kieltyka's 2022 interview traces the idea to summer 2017 and a five-person working team by January 2018. A first investment in 2018 and an incorporation in 2017 therefore need not describe different companies.

Skyweaver, the trading-card game, required wallets, onboarding, payments and indexing. Horizon built those capabilities and then offered them to other developers as Sequence. The company's own account describes it as the first customer of its infrastructure. Horizon and Sequence were not automatically separate corporate subsidiaries: the federal record shows a rename to Sequence Platforms Inc. on March 21, 2025, followed by an April brand announcement.

Five Founders, Different Subsequent Roles

The 2024 company media kit, page 3, lists five founders. Its historical titles should not be presented as a November 2026 organisation chart.

FounderHistorical roleEvidence after the acquisition announcement
Peter / Piotr KieltykaCEOSigns the company announcement; his public profile associates him with Polygon
William HuaChief ScientistHistorical Horizon affiliation is supported; a specific current Polygon role is not established
Ian HaHead of OpsAnnounced a decision to take a break in his January 13, 2026 post
Michael SandersChief StorytellerHis public profile describes a hiatus; precise employment end dates remain uncertain
Daniel RaccaHead of DesignPublic résumé lists Product Manager, Wallets at Polygon Labs, January 2026–Present

Sources for the later positions are Sequence's announcement, Peter's profile, Ian's own post, Michael's profile and Daniel's portfolio and publicly posted résumé. These are self-disclosures, not employment or retention contracts.

Daniel describes wallet roadmap work and a non-custodial SDK in OMS Dashboard, providing specific continuity evidence. Ian's announcement is not an exact last working day or proof of payment. Greg Canessa and Taylan Pince appear separately from the founders in the media kit. Sam Barberie's March 30, 2026 farewell documents another departure. Product continuity does not imply complete team retention, and leaving employment does not itself dispose of shares.

US$53.25 Million of Disclosed Financing

The public financing announcements reconstruct the following history:

StageAnnounced USD amountInterpretation
Seed, publicly announced in 20193,750,000An investor dates its first participation to 2018; that is not automatically another round
Additional seed financing, 20205,000,000Described as additional funding
Pre-Series A SAFE, 20214,500,000A convertible instrument, not a disclosed priced equity round
Series A, 202240,000,000Whole round, not the amount supplied by Polygon
Total announced stages53,250,000Not present cash, revenue or acquisition proceeds

Two Small Fish identifies an initial 2018 investment and separately records the US$3.75 million seed financing announced in 2019. Horizon's 2020 founder update and Osler's financing record support the additional US$5 million. The 2021 company/investor announcement identifies the SAFE. Horizon's October 4, 2022 announcement and investor confirmation identify the Series A.

Brevan Howard Digital and Morgan Creek Digital led the Series A; participants included Take-Two, Ubisoft, Xsolla and Polygon. The investor brand does not disclose the subscribing Polygon legal entity, cheque, share class or percentage. A 2023 strategic alliance also included developer credits, without establishing another equity round or a disclosed pool amount.

An existing Polygon stake could change the external cash needed for a later purchase. It does not prove a particular discount, a payment back to the buyer or an improper transaction. The old stake could have been retained, transferred, converted or extinguished. Those alternatives require the actual holder and closing documents.

There was also separate public support: a FedDev Ontario RRRF record identifies a CAD 250,000 contribution to the same business number in 2020. It is not added to the USD venture total. Current repayment and consent conditions are not established by the disclosure.

Sequence's Ownership and Acquisition Vehicles

The federal corporate record identifies Piotr (Peter) Kieltyka as the only published individual with significant control. The ISC section, confirmed January 19, 2026, describes shares held directly, individually, in the band at least 25% and up to 50%. The annual-filings panel separately classifies the company as having more than 50 shareholders.

Those are populated company fields, not a complete closing cap table. The directors listed are Piotr Kieltyka, Todd Finch and Brett Gibson. The ISC confirmation date does not automatically date the director panel. Under the ISC rules, significant shares can be measured by voting rights or fair market value. The band is not an exact fully diluted economic percentage, much less Kieltyka's share of cash paid.

The acquisition structure has a documented lower chain:

  • Alberta's December 15, 2025 notice records Sequence Buyco ULC, 2027628326, and Sequence Callco ULC, 2027628169, incorporated November 10.
  • The federal record and February 28 Alberta notice record January 20 continuance as Sequence Platforms Inc., 2027813928.
  • The March 14 notice records Buyco and target amalgamating on February 5 into Sequence Platforms ULC, 2027871710. CIPO records that effective date for the SEQUENCE assignment.

February 5 establishes reorganisation and IP succession, not the exact purchase closing. Buyco's and Callco's shareholders and complete parent chain are undisclosed. Their names do not prove an exchangeable-share arrangement. The Investment Canada Act record reports India as the country of ultimate control. Official guidance permits a controlling shareholder, group or certain board-controlled structures; the country does not identify one person's ownership percentage.

Who Could Receive the Proceeds?

Potential recipients include selling founders, institutional shareholders, employees or option holders and, if earlier acquisitions used shares, former Xerial or Light owners. None of those categories supplies a payment ledger. Five founders do not imply five equal 20% interests. More than 50 shareholders does not identify 50 current sellers.

Juno Capital Partners announced its role as exclusive sell-side adviser on January 14, with responses from company participants. It did not publish the seller waterfall. Business Standard reported that existing investors in the acquired firms would continue after the acquisition, without specifying Sequence's rollover terms. An all-cash exit for every backer is therefore unproven.

Proceeds depend on share classes, SAFE conversion, options, preferences, debt payoff, escrows, earn-outs and rollover. A retention bonus is also different from payment for shares. Multiplying the ISC band by a rumoured purchase price cannot establish anyone's payout or investment return.

Earlier Purchases: Xerial and Light

Sequence's July 9, 2024 Xerial announcement specifically says that team and customers joined, extending LATAM coverage. TM 8's own investor post, published the same day, describes an acquisition. The legal form, target company number, price and share consideration remain undisclosed.

In Forbes Argentina's August interview, founders Santiago and Facundo Gramajo describe charging for integration and then a monthly fee. They reported 22 clients; Michael Sanders reported about 40 games signed in six weeks after their arrival in business development. These are participant claims, not audited revenue. The two groups cannot simply be added as paying customers retained through 2026.

The April 8, 2025 Light announcement adds chain-abstraction expertise and names Shun Kakinoki Head of Cross-Chain. That capability later appears in Trails. Price, seller ownership, earn-outs and Sequence shares issued are not public. A California mirror's terminated foreign-registration entry is not proof that a Delaware company dissolved or that the purchase was asset-only.

Light's README acknowledges reliance on Sequence signature technology; its code includes open-source licences. Open source does not eliminate value in engineering, operations or relationships. It does mean the entire stack cannot be valued as newly acquired exclusive intellectual property.

Sequence's Price and Revenue Remain Unverified

Preqin's public profile reports a US$125 million trade sale without publishing the underlying consideration schedule. A contemporaneous BlockchainGamerBiz article explicitly labelled that figure rumoured and inferred an approximately even split from a Coinme rumour. That explains one published estimate, not necessarily the provenance of Preqin's number.

Fortune's reporting also derived a range from an estimated Coinme price. The combined announcement says more than US$250 million, not exactly US$250 million: even a valid Coinme estimate would not establish the inferred upper bound for Sequence. No separate price is treated here as confirmed.

The revenue evidence is similarly limited. GetLatka displays a US$32.1 million December 2023 revenue estimate attributed to Growjo/EST, not published company accounts. Owler supplies another estimated range. Combining one vendor's revenue with another vendor's purchase estimate does not create a verified acquisition multiple.

Sequence has real commercial mechanisms: subscriptions, paid usage, enterprise integration, wallets, indexing, marketplace services and Trails fees. Millions of wallets or indexed transactions do not establish paid subscriptions or retained fees. Trails pricing documentation separates protocol, network and execution costs; public numerical tiers and realised margins are absent. Current standalone ARR, gross margin, cash burn and fair value therefore remain unresolved. The OMS analysis examines the arithmetic without treating hypothetical rates as actual revenue.

Coinme: The Parent Is Not the Licensed Operator

The executed multistate order names Polygon Labs Holdings (Cayman) Ltd, wholly owned Zap merger vehicles and Coinme Holdings Inc. It separately identifies Coinme Inc., NMLS 1185542, as the Virginia corporation operating the licensed money-transmission business from Seattle. The preamble does not publish every final surviving intermediate entity.

There is a historical naming trap. SEC CIK 1703558 now belongs to Coinme Holdings; a 2023 amendment records the previous Coinme Inc. name. Old offering disclosures under that name cannot automatically be assigned to today's same-named licensed operator. Amendments, financing targets and debt offerings also cannot be summed as independent equity rounds.

MoneyGram illustrates another ownership limit. Its January 2022 release described approximately 4% ownership, while its 2021 Form 10-K described approximately 2%. No public denominator bridge establishes the current percentage. A minority investment or commercial partnership does not make the investor a guarantor of customer obligations.

The OMS terms name Polygon Labs Services (Delaware) Inc. as technology provider, with Coinme and named banks supplying regulated services. Sequence's self-custody technology does not convert every Coinme flow into self-custody. Coinme's consumer terms describe hosted wallets, Coinme-controlled keys and internal-ledger accounting; they permit commingling and do not provide FDIC/SIPC protection for the crypto assets. Permission to commingle is not proof of a present reserve shortfall.

What the October Settlement Requires

The order became effective October 7, 2026. Appendix A lists 34 jurisdictions, including DC and Puerto Rico. Its operative provisions, rather than a headline regulator count, determine coverage. Coinme neither admits nor denies the allegations.

ObligationMeaning at the November 5 cutoff
US$2.2 million penalty plus US$0.3 million costsFixed US$2.5 million obligation; due within 90 days after receipt of the relevant payment instructions
Independent BSA/AML consultantEngagement within 60 days; review/remediation obligations continue beyond closing
Minimum licensing requirementsEvidence required within 90 days of effectiveness and continuing compliance thereafter
Kiosk exit by January 1, 2027Future obligation in participating jurisdictions; reopening requires written authorisation
Additional US$4 millionConditional consequence of missing the kiosk-exit condition, not an already established liability

The additional US$4 million does not buy permission to keep operating kiosks. The order also restricts specified former operational managers from returning to operational or compliance/accounting control without required state approvals. Examination, investigation and statutory remedies remain available.

Two release mechanisms differ. Covered pending state administrative actions are superseded under the effective-date provisions. The release of specified covered conduct becomes effective on the later of effectiveness or receipt of the full penalty/costs payment. The announcement and acquisition closing do not themselves prove that payment condition was met. Neither mechanism is blanket immunity for unrelated conduct, future violations, federal claims or non-participating jurisdictions. Executed order, sections VI–IX.

Licences Can Still Be Restricted or Revoked

The settlement does not make licences irrevocable. Noncompliance, failure to meet minimum requirements and material misinformation remain relevant enforcement risks. Georgia's regulator expressly distinguishes continued other money-transmission services from the kiosk exit. The kiosk definition includes using third-party equipment; ownership of the machine is not the deciding test.

The marketed 37 licences plus 11 exemptions covering 48 states is not a uniform product permission. Coinme's May 2026 licensing list contains 35 states plus DC and Puerto Rico. Different dates and definitions may explain a changing count, but every exemption and service needs its own legal basis. FinCEN MSB registration is not a bank charter, a state licence substitute or a solvency endorsement.

California is separate from the 34-jurisdiction settlement. Its January 30, 2026 consent order provides US$174,874.28 restitution and a conditional US$1 million penalty for noncompliance, with further remedies. The DFAL regime began July 1, 2026; current authority depends on a licence, timely complete application or applicable exemption. The October settlement alone does not establish Coinme's current California DFAL status.

Cash Distribution Is Changing

The acquisition did not deliver an owned fleet of 50,000 ATMs. Coinstar kiosks, cashier-assisted Coinme Cash, ReadyCode withdrawals and app/card services are different channels with different partners and restrictions. A combined retail-location claim is a distribution claim, not an asset inventory.

Coinme's ReadyCode notice says new codes ended October 31, 2026, with remaining codes expiring by November 30 and reimbursement available when necessary. It describes debit-card sales and participating cash-purchase locations separately. The notice does not state that the settlement caused ReadyCode's closure; that causal link should not be invented.

Coinstar's CINQ discontinuation is another channel: app closure October 14, kiosk closure announced for November 19 and wallets for January 4, 2027. It is not an announcement that all Coinme services ended. A Coinstar page describes almost 5,000 participating Coinme kiosks, illustrating why older footprint totals require reconciliation.

Business also exists outside kiosks. Lantern's trading/custody FAQ names Coinme and Fireblocks and describes a 1% customer trading fee. Coinme's share and the processed volume are not disclosed. The October Polygon announcement names Tazapay, Mesh, Toku and Kira in payment deployments. These examples establish relationships, not audited post-acquisition revenue or availability of every product in every state.

Historical Capital: Why US$39.7 million Became Minus US$7.8 million

The Alaska Statement of Issues, December 10, 2025 recalculated capital for the licensed operator at June 30, 2025:

ItemUSD
Reported capital39,729,598
Excluded receivable from Coinme Holdings−21,856,988
Excluded BTCD Labs investment/gain−25,681,000
Adjusted capital−7,808,390

The regulator questioned the parent's ability to repay promptly and cited qualified audit opinions. The parent receivable was not simply one cash loan: the March balance included services, refund/escheatment reserves and assumed regulatory or other liabilities. Moving an obligation between group companies does not itself discharge the amount owed to a customer or state.

The statement also described pledged assets and questioned permissible-investment treatment. These findings do not establish a numerical customer shortfall without matching liabilities to available, unencumbered eligible assets. Nor does an intragroup receivable create extra consolidated group value merely by appearing on both sides of the accounts.

The negative figure is historical adjusted regulatory capital, not proof of November 2026 insolvency or the acquisition's fair value. Alaska's enforcement index marks the old denial dismissed October 18, 2026. That changes the proceeding's status, but does not publish the size of a capital injection, repayment, released pledges or the opening post-close balance sheet.

Transaction Volume Is Not Profit

Coinme's 2024 anniversary announcement celebrated US$1 billion cumulative retail sales. Its January 2026 announcement describes more than US$1 billion transaction volume in 2024 and a first profitable year. Neither is US$1 billion revenue or a published net-profit amount.

The 2025 Washington charges alleged recognition of unredeemed vouchers as revenue: US$2,201,254 in 2023 and US$6,170,822 in 2024. Those are allegations subsequently addressed by settlement, not an audited restatement. They make the quality of the profitability claim a reconciliation question; they do not permit a precise rewritten P&L.

Coinme's fee schedule also describes customer charges, not retained margin. Partner shares, liquidity, processing and compliance costs intervene. Multiplying all volume by the highest advertised fee would not establish revenue or profit.

BTCD: Accounting Value, Reserves and Exit Prices

Alaska excluded the historical US$25.681 million BTCD Labs gain/investment because of valuation and then-operational-status concerns. GLEIF identifies BTCD Labs Ltd, BVI 2175662, incorporated April 29, 2025. Coinme's product page and the BTCD website establish a commercial/funding connection, without disclosing Coinme's precise equity percentage or instrument.

A November 5 portfolio snapshot at 07:19 UTC reported about 1.70 million BTCD supply and US$1.58 million collateral, with a displayed 100.48% collateral ratio. The portfolio is project reporting across strategies, including exchange telemetry. A separate read of the BTCD token contract confirmed supply around 1,700,051.95 BTCD; it did not audit every reserve. Token count is not a USD amount: the token's observed price was below US$1.

The old accounting entry, present protocol collateral and equity value of BTCD Labs are different objects. Subtracting US$1.58 million from US$25.681 million does not calculate Polygon's loss. Company equity value would require ownership rights, cash flows, costs and liabilities.

The Root Oracle Was Not a Full Reserve Attestation

At Ethereum block 26,347,392, November 5, 2026, 08:19:11 UTC, independent POLTRACK eth_call checks showed the root reserve reporter unset, discount inactive and discount factor 1. The root price was a US$0.9244452 pure peg, rather than an active markdown based on the full portfolio. That observation does not establish a reserve deficit. The dated state is identified by the Ethereum block and root oracle contract; the oracle documentation explains its intended mechanics.

The controls documentation limits the 48-hour timelock statement to reporter binding/unbinding. It should not be generalised to all minter, fee, pause or strategy permissions. The audit coverage page also distinguishes review scopes and deployment versions; a listed review is not proof that every live component has identical coverage.

At block 26,347,395, November 5, 2026, 08:19:47 UTC, independent POLTRACK eth_call simulations through Uniswap QuoterV2 for the BTCD/USDC pool returned:

BTCD inputUSDC outputAverage USDC per BTCD
1,000917.6212480.917621
10,0008,993.3053880.899331
50,00037,895.7186140.757914

The 0.3% pool fee is included; gas is excluded. The last average is about 18% below the earlier root peg. These are simulated executions on one route at one block, not completed trades, a general redemption price or an equity valuation. Other routes, eligibility conditions and contractual redemption rights must be assessed separately. The observation refers to this Ethereum block, BTCD/USDC pool and QuoterV2 contract. Deployment documentation identifies the contracts; the numerical outputs above are the independent simulation results.

bdUSD Adds Leverage and Exit Conditions

Coinme's October 14 walkthrough describes USDC entering an Ethereum vault and bdUSD appearing in a hosted wallet. bdUSD is a vault receipt, distinct from BTCD and an ordinary dollar balance. This route uses Ethereum; it is not inherently a POL-gas transaction.

The USD Growth documentation describes sBTCD collateral and borrowed wBTC through Morpho, approximately 2× sBTCD exposure offset by 1× wBTC debt, with target LTV 50% and liquidation LTV 77%. Returns depend on collateral yield, borrowing costs and rebalancing. Reserve losses can be amplified, and rising BTC prices can increase the dollar cost of the debt. The product should not be valued as cash merely because its name contains USD.

Instant exits use a liquid buffer and do not unwind the leveraged position in the same transaction. The project's November 2 snapshot, block 26,327,908, reported instant capacity around 10.1% of assets; that is not a new November 5 measurement. A 24-hour request window requires operator release and is not a guaranteed payout within 24 hours. Published exit and management fees do not establish Coinme's economic share. BTCD mint/redemption fees retained in protocol reserves are not automatically Polygon revenue. USD Growth, fees.

BTCD terms distinguish direct verified-user mint/redemption from secondary distribution and exclude US users from that direct verified-user category. Buying through Coinme does not automatically create the same issuer redemption agreement. The distinction also does not, by itself, establish that US distribution is unlawful.

What Would Establish Value After the Acquisitions?

The combination has identifiable strategic assets: regulated fiat access, customer relationships, wallets, orchestration, engineering and integrations. The liabilities and costs also matter: remediation, customer obligations, funding, custody, infrastructure, retention and any contingent acquisition payments.

A defensible valuation needs separate purchase allocations, opening unrestricted cash and debt, reconciled customer liabilities, current licensing conditions, retained net revenue and cash flow. Sequence's fundraising total is not a valuation floor. Coinme's historical regulatory adjustment is not today's insolvency finding. The BTCD portfolio is not the price of the company behind it.

Polygon's corporate fees also do not automatically become POL-holder income. Specific routing, network fees, token purchases or other mechanisms need separate evidence, as set out in the OMS investigation and corporate ownership report.

Frequently asked questions

How much did Polygon pay for Coinme and Sequence?

The announced amount is more than US$250 million combined. Individual allocations, cash/equity mix and closing adjustments are not publicly established. Neither company can simply be assigned the whole amount.

Did Sequence's purchase close on February 5, 2026?

That is the documented amalgamation and effective IP-assignment date. It does not establish the exact purchase closing or seller payment date. A purchase could precede subsequent reorganisation.

Who were Sequence's five founders?

The historical company media kit lists Peter Kieltyka, William Hua, Ian Ha, Michael Sanders and Daniel Racca. Historical founder titles do not establish equal shares, current employment or sale proceeds.

Was Polygon already an investor?

Yes. Polygon appears in Horizon's 2022 Series A announcement. The subscribing legal entity, amount, percentage and later disposition of that interest are not disclosed.

Did Peter Kieltyka receive 25–50% of the purchase price?

That does not follow from the ISC band. It can reflect voting rights or share value, and is not the closing waterfall. Preferences, options, rollover, debt and escrow can change distributions.

Is US$125 million a confirmed Sequence valuation?

It is a reported vendor estimate/price claim without a public standalone allocation. Contemporary reporting included inference from a Coinme rumour. It is not treated here as verified price or fair value.

Did all founders and investors cash out?

The public record does not show that. Investor-continuity reporting suggests participation may continue, but precise rollover and payout schedules are undisclosed. Leaving a job is not a share-sale receipt.

Did Polygon buy 50,000 ATMs?

The location claim combined distribution channels. Coinstar equipment, retail cash services and withdrawal partners are different relationships. The public announcements do not establish an owned fleet of that size.

Are all Coinme licences revoked?

The October settlement permits continued other licensed money-transmission services while requiring remediation and a kiosk exit in participating jurisdictions. Old suspension or revocation headlines must be read with later supersession and dismissal records.

Can Coinme lose licences after the acquisition?

Yes. Continuing requirements and enforcement powers remain. Missing the kiosk-exit deadline can trigger an additional US$4 million; paying it would not authorise continued kiosk operation. California has separate conditions.

Does the negative 2025 capital prove current insolvency?

No. Minus US$7.808 million is a historical regulator-adjusted figure for the licensed operator. Current capital, customer-liability reconciliation and the post-acquisition opening balance remain separate questions.

Does the old BTCD gain equal the value of today's reserves?

No. The investment/accounting entry, protocol reserve assets and company equity are different objects. Current token liquidity also cannot independently value BTCD Labs or Coinme's stake.

Do the liquidity quotes describe every redemption option?

No. They simulate one Uniswap route at specified Ethereum blocks, including pool fees but excluding gas. They do not establish all OTC routes, direct issuer terms or a guaranteed exit for every holder.

Is bdUSD ordinary cash with guaranteed next-day withdrawal?

No. The documented product is a leveraged vault receipt with buffer and operator-release conditions. Its 24-hour request window is not a guaranteed 24-hour payment, and its fees are not automatically Coinme or POL-holder profit.
